1. Introduction and Acceptance
Welcome to Blessed Bits ("we," "our," or "us"). Blessed Bits is operated by Blessed Bits, LLC, a Wyoming limited liability company. These Terms of Service ("Terms") govern your access to and use of:
- The Blessed Bits website (blessed-bits.com)
- Our authentication and account management services
- Our billing and subscription management platform
- Affiliated SaaS applications that use Blessed Bits for billing and/or authentication ("Consumer Apps")
By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, you may not access or use our services.
Eligibility: You must be at least 18 years old and legally able to enter into contracts to use our services. By using our services, you represent that you meet these requirements.
Governing Law: These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Arbitration (Section 12) shall be conducted in Cheyenne, Wyoming, or virtually. This does not affect mandatory consumer protections in your jurisdiction.
2. Account Registration and Security
Account Creation
To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
Two-Factor Authentication (2FA)
We require two-factor authentication for enhanced security. You must configure at least one 2FA method (email, SMS, or authenticator app) during registration. You are responsible for maintaining access to your chosen 2FA method.
Single Sign-On (SSO)
Your Blessed Bits account may be used to access multiple Consumer Apps through our cross-domain authentication system (Single Sign-On or "SSO"). When you first attempt to access or authenticate with a Consumer App:
- You authorize us to share basic account information (including name, email, profile photo, and subscription status) with that application.
- If the Consumer App has a Service-Specific Addendum, you will be presented with it and must actively accept it (e.g., via checkbox or "Continue" button) before gaining access.
Continued use of the Consumer App constitutes ongoing agreement to its Addendum. Billing and core terms remain governed by this master Terms of Service.
License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or internal business purposes. This license does not include any ownership rights in our services or content.
3. Subscriptions and Billing
Blessed Bits serves as the centralized billing partner for all Consumer Apps. All payment terms in this section apply to subscriptions for any Consumer App that uses our billing platform.
Payment Processing
All payments are processed securely through Stripe. By subscribing, you:
- Authorize us to charge your payment method on file
- Authorize recurring charges according to your subscription plan
- Agree to Stripe's Services Agreement
4. Subscription Tiers
Your access to Consumer Apps is governed by subscription tiers managed through your Consumer App account setings. Each Consumer App may offer different tiers (e.g., Free, Starter, Pro, Enterprise) with varying features, usage limits, and pricing. The specific tiers available, their names, prices, included features, and usage limits for a particular Consumer App are detailed in that app's Service-Specific Addendum and on its pricing page.
Usage Limits and Overages
Each tier includes specific usage limits defined in the applicable Consumer App's Addendum. Exceeding limits may result in restricted functionality, additional fees (if overage billing is offered for that app), or a required upgrade. We reserve the right to monitor usage and suspend access in cases of abuse.
5. Upgrades and Downgrades
You may upgrade or downgrade your subscription tier for a Consumer App at any time through your Consumer App Settings page.
- Upgrades: Take effect immediately. You will be charged a prorated amount for the higher tier for the remainder of your current billing cycle via Stripe. New features and higher limits as defined in the Consumer App's Settings become available immediately.
- Downgrades: Take effect at the end of your current billing cycle. Any prorated credit for the unused portion of the higher tier will be applied to your next invoice (no cash refunds). Lower limits and feature restrictions (as defined in the Consumer App's Addendum) will apply starting the next billing cycle. Excess usage may become restricted or read-only.
6. Free Trials
Consumer Apps may offer free trial periods of paid tiers. Trial terms include:
- Duration: Typically 30 days, but varies by app
- Card Required: A valid payment method must be on file to start a trial
- Auto-Conversion: Your trial automatically converts to a paid subscription at the end of the trial period unless you cancel
- One Trial Per User: You may only use one free trial per Consumer App
Trial Abuse: We limit free trials to one per user/email address and may use additional measures (e.g., device fingerprinting) to prevent abuse. Attempting to create multiple accounts to obtain additional trials may result in termination of all accounts.
Cancel before the trial ends to avoid charges. We will send reminder emails approximately 9 days and 3 days before your trial period expires and converts to a paid subscription.
7. Refunds and Chargebacks
We want you to be satisfied with our services. Our refund policy is as follows:
- 14-Day Window: You may request a full refund for any subscription within 14 days of the initial purchase or renewal.
- Exceptions: Refunds do not apply to usage-based overages, consumed billing credits, or specialized service fees.
- Process: To request a refund, use the Feedback feature within your Consumer App (Help & Support menu) or contact us via our Contact Form.
- Chargebacks: We encourage you to contact us first using the in-app Feedback feature or our Contact Form to resolve any billing issues. Initiating a chargeback without contacting us may result in the immediate suspension of your account.
8. Acceptable Use
You agree not to:
- Use our services for any illegal purpose or in violation of any laws
- Infringe upon the intellectual property rights of others
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Engage in automated data collection (scraping) without permission
- Reverse engineer, decompile, or disassemble our software
- Resell or redistribute our services without authorization
- Use our services to send spam or unsolicited communications
- Harass, abuse, or harm other users
- Circumvent security measures or usage limits
- Create multiple accounts to abuse trials or promotions
We reserve the right to monitor usage and suspend accounts that violate these terms.
9. Intellectual Property
Our Property
All content, features, and functionality of our services—including but not limited to software, code, text, graphics, logos, and designs—are owned by Blessed Bits or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Your Content
You retain ownership of any content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely as necessary to provide, maintain, and improve the services to you. We will not sell, rent, or share your content with third parties for marketing or advertising purposes. Your content is treated as your private information, and its handling is governed by our Privacy Policy, which explicitly states that we do not sell your personal data.
Feedback
If you provide feedback, suggestions, or ideas, you grant us the right to use them without compensation or attribution.
10. Termination and Suspension
Termination by You
You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:
- No further charges will be made after the current billing period
- You retain access until the end of your paid period
- You may request account deletion (see our Privacy Policy for GDPR deletion process)
Termination by Us
We may suspend or terminate your account if:
- You breach these Terms
- Your payment method fails and is not resolved
- We are required to do so by law
- We cease providing services (with reasonable notice)
Post-Termination
Upon termination:
- Access to services is immediately revoked (or at end of paid period for cancellations)
- You have 30 days to export your data before permanent deletion. Data export availability may vary by Consumer App as specified in its Addendum.
- Provisions that by their nature should survive (liability, disputes, IP) will survive termination
11. Warranties and Disclaimers
DISCLAIMER: OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
We disclaim all warranties, including but not limited to:
- Implied warranties of merchantability and fitness for a particular purpose
- Warranties that services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or completeness of any content
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of Liability
Cap on Liability: Our total liability for any claims arising from or related to these Terms or your use of our services is limited to the greater of:
- The amount you paid us in the 12 months preceding the claim, or
- $100 USD
Exclusion of Damages: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including:
- Loss of profits, revenue, or data
- Business interruption
- Cost of substitute services
These limitations apply even if we have been advised of the possibility of such damages and regardless of the theory of liability. These limitations apply to the fullest extent permitted by law.
Exceptions: These limitations do not apply to liability arising from gross negligence, willful misconduct, or fraud.
13. Indemnification
You agree to indemnify, defend, and hold harmless Blessed Bits, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Content you submit through our services
14. Dispute Resolution
Informal Resolution
Before filing any formal dispute, you agree to contact us at legal@blessed-bits.com and attempt to resolve the dispute informally for at least 30 days.
Arbitration
If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising from these Terms or our services will be resolved through binding individual arbitration, rather than in court. The arbitration will be conducted by a mutually agreed-upon arbitrator under the rules of the American Arbitration Association. Arbitration shall be conducted in Sheridan, Wyoming, or virtually.
Class Action Waiver
You agree to resolve disputes only on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.
Exceptions
Either party may seek injunctive relief in court for intellectual property violations or unauthorized access to systems.
15. Service-Specific Addendums
Hub and Spoke Model: This Terms of Service is the "hub" that applies to all users. Individual Consumer Apps may have additional terms ("Addendums") that supplement these Terms.
When you access a Consumer App:
- You will be presented with any applicable Addendum
- The Addendum covers app-specific features, acceptable use, and disclaimers
- In case of conflict between these Terms and an Addendum, the Addendum prevails for that specific service only
- Billing and payment terms in this master Terms of Service always apply
Consumer App Addendums may address:
- App-specific service descriptions
- App-specific acceptable use policies
- App-specific data handling (in addition to our Privacy Policy)
- App-specific disclaimers (e.g., "not financial advice")
16. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We will update the "Last Updated" date at the top
- We will notify you via email at least 30 days before changes take effect
- Material changes will be highlighted on our website
For non-material changes (e.g., clarifications), they take effect immediately. Continued use of our services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using our services and cancel your subscription.
17. Miscellaneous
Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, terrorism, labor disputes, or internet outages.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to a successor in connection with a merger, acquisition, or sale of assets.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable Addendums, constitute the entire agreement between you and Blessed Bits regarding your use of our services.
